§ 1 Scope of applicationThe following terms and conditions are an integral part of the contract concluded with us. Our General Terms and Conditions shall also apply in their latest version to all subsequent transactions, without this having to be expressly mentioned or agreed upon at the time of their conclusion. They shall only apply to entrepreneurs within the meaning of Section 310 (1) of the German Civil Code (BGB). We hereby object to any counter-confirmations, counter-offers or other references by the Buyer to his terms and conditions; any deviating terms and conditions of the Buyer shall only apply if confirmed by us in writing.§ 2 Conclusion of contractThe order is a binding offer. Solida can accept the offer by written confirmation within two weeks.§ 3 DeliveryThe delivery of the goods is ex works. The transport and shipping costs shall be borne by the purchaser, unless otherwise agreed. In case of return shipment, the purchaser shall bear the freight and postage costs.§ 4 InvoicingThe invoice shall be issued on the day of dispatch or provision of the goods (ex works). A postponement of the invoice due date (value date) is generally excluded. The prices quoted do not include the legally valid value added tax, unless this is already shown separately.§ 5 Payment of purchase priceInvoices are payable in each case from the day of issue (invoice date)- within 10 days with 2.00 %- from the 11th - 30th day net without deduction.Payment shall be made by bank transfer unless otherwise agreed. In case of bank transfer, the day of crediting at the bank of Solida is considered as the day of payment clearance. If the buyer is in default of payment, Solida is entitled to charge default interest according to § 288 BGB.§ 6 OffsettingThe purchaser has the right to offset only with counterclaims that are legally established, undisputed or recognized by Solida.§ 7 Delivery timeCompliance with the delivery period requires the fulfillment of the contractual obligations of the purchaser. The delivery deadline is met if the delivery item has left the company headquarters of Solida or the readiness for shipment has been communicated by the time of its expiration. The delivery period is extended appropriately in the case of measures within the scope of labor disputes, force majeure as well as the occurrence of unforeseen obstacles that lie outside the sphere of influence of Solida. This also applies if such circumstances occur with upstream suppliers. If Solida is in default for reasons for which it is responsible, the liability for damages in case of slight negligence is limited to an amount of 30% of the foreseeable damage. Further claims for damages including loss of profit only exist if the delay is due to intent or gross negligence.§ 8 Retention of titleSolida retains ownership of the delivery item until the purchase price has been paid in full. The purchaser may neither pledge the delivery item nor assign it as security. In case of breach of contract by the buyer, especially in case of default of payment, Solida is entitled to take back the goods after a reminder and the buyer is obligated to surrender the goods. The assertion of the retention of title by Solida is not considered a withdrawal from the contract.§ 9 Choice of LawThe law of the Federal Republic of Germany shall apply exclusively to the exclusion of the UN Convention on Contracts for the International Sale of Goods and the norms of international private law referring to it.§ 10 Place of performance and jurisdictionThe place of performance and jurisdiction for all disputes arising from this contract shall be Helmstedt, unless otherwise stated in the order confirmation.
